1. Introduction

Welcome to Sales Co-Pilot. These Terms and Conditions (“Terms”) govern your access to and use of the Sales Co-Pilot service, including our website, mobile applications, and other online services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.

2. Definitions

“We,” “our,” or “us” refers to Sales Co-Pilot. “You” or “your” refers to the individual or entity using our Service. “Content” refers to any text, graphics, images, music, software, audio, video, information, or other materials uploaded, downloaded, or appearing on the Service. “User Content” refers to any Content that users submit, upload, or otherwise make available through the Service.

3. Account Registration

3.1 To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 You are responsible for safeguarding your password and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

3.3 We reserve the right to disable any user account if we believe you have violated these Terms.

4. Subscription and Payment

4.1 Some aspects of the Service may be provided on a subscription basis. By subscribing, you agree to pay the applicable fees.

4.2 You authorize us to charge the payment method you provide for the subscription fees. All payments are non-refundable except as expressly provided in these Terms.

4.3 We may change our subscription fees from time to time. Any changes will be effective upon posting to the Service or otherwise notifying you.

5. Use of the Service

5.1 You may use the Service only for lawful purposes and in accordance with these Terms.

5.2 You agree not to:

  • Use the Service in any way that violates any applicable law or regulation
  • Use the Service to infringe the intellectual property rights of others
  • Transmit any material that is defamatory, offensive, or otherwise objectionable
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service
  • Use the Service to collect or store personal data about other users without their express consent
  • Use the Service for any purpose that competes with our business

6. User Content

6.1 The Service may allow you to upload, submit, store, send, or receive content. You retain ownership of any intellectual property rights that you hold in that content.

6.2 By uploading, submitting, storing, sending, or receiving content to or through the Service, you grant us a worldwide, royalty-free license to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly perform, publicly display, and distribute such content for the limited purpose of operating, promoting, and improving our Service.

6.3 You represent and warrant that:

  • You own or have the necessary rights to use and authorize us to use your User Content
  • Your User Content does not violate the privacy, publicity, copyright, or other rights of any person

7. LinkedIn Data Usage

7.1 When using our Service with LinkedIn integration, you agree to comply with LinkedIn’s terms of service and other applicable policies.

7.2 You must have proper authorization to access and use LinkedIn data through our Service, including data related to your connections.

7.3 You may not use our Service to scrape, mine, or otherwise extract data from LinkedIn in violation of LinkedIn’s terms.

8. Intellectual Property Rights

8.1 The Service and its original content, features, and functionality are and will remain the exclusive property of Sales Co-Pilot and its licensors.

8.2 Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

9. Third-Party Links and Services

9.1 The Service may contain links to third-party websites or services that are not owned or controlled by us.

9.2 We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

10. Termination

10.1 We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

10.2 Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

11. Limitation of Liability

11.1 In no event shall we, our directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

11.2 Our liability is limited to the maximum extent permitted by law.

12. Disclaimer

12.1 Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis without any warranty or condition, express, implied, or statutory.

12.2 We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

13. Indemnification

You agree to defend, indemnify, and hold harmless Sales Co-Pilot and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of the Service.

14. Governing Law

These Terms shall be governed by and defined following the laws of Ireland. Sales Co-Pilot and yourself irrevocably consent that the courts of Ireland shall have exclusive jurisdiction to resolve any dispute arising out of these Terms.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

17. Entire Agreement

These Terms constitute the entire agreement between you and us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.
